These general terms govern access to Sophyia websites, products, APIs, and approved integrations unless a separate written agreement applies.
1. The service
Sophyia develops and operates proprietary AI-enabled products and integrations. Features, availability, supported platforms, and access conditions may change over time. A proposal, order form, account terms, or enterprise agreement may set out service-specific commitments. If there is a conflict, that written agreement prevails.
2. Accounts, access, and third-party platforms
You are responsible for keeping your access credentials confidential and for activity undertaken through your account. An integration with a third-party platform is subject to that platform’s terms, policies, availability, and permissions. Sophyia is not responsible for third-party services or changes made by them.
3. Acceptable use
You must use Sophyia lawfully, responsibly, and in accordance with these terms and any applicable product rules. You must not:
- submit unlawful, infringing, deceptive, abusive, or harmful material;
- attempt to access accounts, systems, data, prompts, models, or infrastructure without authorisation;
- interfere with the service, evade safeguards or limits, scrape it unlawfully, or use it to develop a competing service from protected outputs or materials;
- use the service to make automated decisions with legal or similarly significant effects without appropriate human review and legal authority;
- represent AI-generated material as independently verified professional advice or use it where an error could reasonably cause harm without qualified review.
4. Your content and Sophyia materials
You retain rights in content you submit, subject to the rights needed for Sophyia and its processors to host, process, secure, and provide the requested service. You confirm that you have the rights, permissions, and lawful basis to submit that content. Sophyia retains all rights in its software, models, orchestration methods, interfaces, documentation, brands, and other proprietary materials. No intellectual-property right is transferred except as expressly agreed in writing.
5. AI-assisted output
AI systems are probabilistic. Outputs can be incomplete, inaccurate, biased, outdated, or inappropriate for a particular context. You must review outputs before relying on, publishing, implementing, or acting on them. Sophyia does not warrant that output is correct, unique, non-infringing, available, or fit for a particular purpose.
6. Confidentiality and data
Each party must protect the other party’s confidential information with reasonable care and use it only for the permitted relationship, except where disclosure is required by law or the information is independently public. Our handling of personal data is described in the Privacy Notice. Do not submit secrets or regulated data unless the relevant product documentation and agreement explicitly permit it.
7. Suspension and termination
Sophyia may suspend or limit access where reasonably necessary to protect users, the service, legal compliance, security, or third parties, including for suspected misuse. You may stop using the public website at any time. Account termination, export, deletion, and notice periods for paid or managed services are governed by the applicable service agreement.
8. Disclaimers and limitation of liability
To the maximum extent permitted by applicable law, Sophyia provides the service on an “as available” basis and excludes implied warranties. Sophyia is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits, revenue, data, goodwill, or business opportunity; or a third-party platform, provider, network, or user action outside Sophyia’s reasonable control.
To the maximum extent permitted by law, Sophyia’s aggregate liability arising from a service is limited to the fees paid to Sophyia for that service during the twelve months before the event giving rise to the claim. Nothing in these terms excludes liability that cannot lawfully be excluded or limited.
9. Governing law and changes
These terms are governed by Swiss law, excluding conflict-of-law rules, subject to mandatory consumer-protection law where applicable. To the extent permitted by law, the competent courts at Sophyia’s registered office have exclusive jurisdiction. Sophyia may update these terms for legal, security, or service reasons; the current version is published here.
